("Kitchen Culture" or the "Company") said today that a second attempt to convene an Extraordinary General Meeting ("Second Intended EGM") to remove 5 of 6 directors next week is defective and invalid for non-compliance with the Companies Act 1967 and the Company's Constitution.Kitchen Culture had sought legal advice and had since early November 2022 been writing to lawyers representing OOWAY Group Ltd. ("OOWAY") who in turns representing a group of 7 other shareholders (8 aforementioned shareholders collectively, the "Requisitioners") who had published an advertisement in The Business Times on 3 November 2022 calling for the Second Intended EGM to be held on 25 November 2022 by electronic means. Based on opinions of 2 lawyers, Kitchen Culture, the SGX Catalist-listed provider of solutions and products for kitchens and wardrobes said:"... the Company announces that the Second Intended EGM (scheduled for 9.00 am on Friday 25 November 2022 to be held by electronic means) is NOT a proper extraordinary general meeting of the Company. As such, that Second Intended EGM is defective and invalid, and any resolution passed at any purported meeting held as the Second Intended EGM will be invalid. Even assuming that the Second Intended EGM is not defective and invalid, any resolution to remove any Director or to appoint some person in place of a Director so removed, will be invalid."The Requisitioners had not given sufficient notice in writing of the Second Intended EGM as required by the Companies Act and the Constitution of the Company. In addition, we developed a wireless remotely operated vehicle (ROV) using these technologies.NTT and DOCOMO started considering applying these technologies to the Non-Terrestrial Network (NTN)(4) for "5G Evolution & 6G powered by IOWN," and we have started study on extending coverage to underwater areas, which have been unexplored for high-speed wireless communication. In addition, NTT, DOCOMO, and NTT Communications are going to experiment in Shizuoka Prefecture in an underwater equipment inspection using this wireless ROV.These technologies will be introduced at the "NTT R&D Forum - Road to IOWN 2022"(5) scheduled to be held from November 16 to 18, 2022.1. BackgroundThere is demand for high-speed underwater wireless communication, which is one of the unexplored areas targeted by NTN technology. There are plans to realize "ultra-coverage extension" for "5G Evolution & 6G powered by IOWN" that combines the next-generation communication technology 6G with IOWN(6) technology. Underwater wireless communication is divided into three types: low-frequency electromagnetic field communication that uses radio waves, optical wireless communication that uses light, and acoustic communication that uses sound waves. We focus on acoustic communication that allows for stable long distance transmission in shallow areas, and we have been working to further increase the distance and transmission rate, enabling high-definition underwater video transmission and wireless ROV, which will dramatically improve workability and efficiency in undersea resource development, underwater construction, and fisheries.2. Introduction of technologies2.1 Underwater acoustic communicationFig. 1 shows a diagram of these field experiments. The transmitter has a transducer array with 5 different resonant frequencies (Right picture of Fig. 1) and an acoustic communication modulator. It transmits broadband modulation signals from 10 transducers in total. The receiver has a 16-hydrophone array (Left picture of Fig. 1) and an acoustic communication decoder. It demodulates received signals with the array.We were successful at the world's first 1-Mbps wireless transmission over 300 m in a shallow sea area with a spatio-temporal equalizer to reduce the impact of delay spread and Doppler effect(7) with a waving sea surface that are 200,000 times slower than land mobile communication and improved resistance technology for environmental noise to reduce the impact of impulsive noise(8) from things like a pistol shrimp's impulse wave.2.2 Positioning of our achievementFig. 2 shows the positioning of our achievement. In shallow sea areas, long-distance stable communication is difficult because of the impact of impulsive noise from things like a pistol shrimp's impulse wave. However, our technologies make 1-Mbps/300-m underwater transmission possible. They are more ten times faster than conventional technologies. This is equivalent to the transmission rate required for streaming movies at SD quality (H.264, 480p, 30 fps) and can be applied to real-time degradation diagnosis by transmitting images of underwater equipment and quay walls.3. Wireless ROVNTT developed a wireless ROV using these technologies. Fig. 3 shows the system for the ROV. The ROV can be controlled on a ship while checking real-time underwater video. The transmitter sends a control signal to the ROV. The ROV moves and shoots on the basis of this control signal and transmits streaming data to the acoustic demodulator on the ship. With this wireless control, the ROV can be operated remotely while real-time underwater video is checked, even in narrow areas with reefs and structures that are difficult to navigate with the conventional tether cable ROV. It is possible to improve the workability and efficiency of underwater facility inspections using underwater drones.In addition, NTT, DOCOMO, and NTT Communications are going to perform experiments for the "Shizuoka Marine Trial Field Center"(9) promoted by Shizuoka Prefecture through an underwater equipment inspection using this wireless ROV. He stated further that "even in the employment position that is publicized, as long as there are Nigerians that have the capacities to take up the challenges, it is not allowed for you to bring somebody from outside the country, except in an agreement transferring knowledge, and 40% of our products and services must be retained for Nigerians." The minister disclosed that his sector has been performing with increasing creditably in the last three years, making it the fastest growing sector and the highest contributor to Gross Domestic Product in the country. "The Digital Economy has in recent years recorded three unprecedented records. For example, contributing18.44% of GDP in the last quarter according to the National Bureau of Statistic." Listing record achievements for the sector, Prof. Pantami further expressed that his Ministry had scored high grades in each of the eight ministerial deliverables he signed with President Muhammadu Buhari in 2019. He noted that his Ministry scored a very strong 173.86% average across the eight. The scores in each deliverable were recorded as: implementation of broadband connectivity -134%; deployment of 4G across the country - 127%; digitalising government functions and processes - 99%; development and implementation of a National Digital Economy Policy and Strategy - 103%; implementation of a Digital Identity Programme - 86%; improvement and optimisation of revenues from all operators and licensees in agencies under the Ministry's supervision - 594%; active collaboration with private sector to create jobs - 111%; empowerment of citizens - 137%. According to the Minister, the sector used to contribute an average of N51 billion (approx. US$118 million) quarterly to the government's coffer, but in the last three years, quarterly remittance has grown to N408 billion (approx. US$ 935 million). "And you cannot appreciate this until you know how difficult it is to generate funds for government. We remit all that we generate to the government, while others spend without generating," he noted. ("Kitchen Culture" or the "Company") today rejected a requisition to remove 5 of its 6 directors, and sharply criticised its largest shareholder, OOWAY Group Ltd. ("OOWAY"), for conveying to the media factual inaccuracies and mischaracterising recent events.The Board, with the exception of Madam Hao Dongting ("Mdm Hao"), said that there are no grounds to justify the resignations. The Board had received a notice (the "Section 177 Notice") - issued under Section 177 of the Companies Act 1967 - on 30 September 2022 from OOWAY and 7 individuals who own an aggregate of 21.71% of the Company's shares.Kitchen Culture was listed on SGX Catalist in 2011 as a provider of solutions and products for kitchens and wardrobes. Its shares have been suspended from trading since July 2021. Its Board has seen several changes since the involvement of OOWAY in October 2020. The Company stressed that OOWAY had in fact supported the reappointments of Mr William Teo and Mr Ang Lian Kiat at the Annual General Meeting held on 18 March 2022."The circumstances suggest that OOWAY may have its own reasons for calling for the replacement of the 5 Directors, which are unknown to the Board, with the exception of Mdm Hao," Kitchen Culture said.Separately, Kitchen Culture sharply criticised Mr Liu Yanlong ("Mr Liu"), representative of OOWAY, for his remarks to the Chinese-language Lianhe Zaobao newspaper, published on 7 October 2022, and as contained in a 12 October 2022 press release issued on ACN Newswire.The Board, with the exception of Mdm Hao, said it "notes with grave disappointment that this is at least the second instance in which Mr Liu of the OOWAY has mis-characterised to the media events of the recent past with blatant factual inaccuracies. These efforts are a distraction to the serious matters, as outlined above, which the current Board is working very hard to address."The Board, with the exception of Mdm Hao, highlighted 5 key matters:1) The remarks to the media misinterpret the findings of an internal control review by Baker Tilly Consultancy (Singapore) Pte. Ltd. ("Baker Tilly").It also notes that on 19 August 2021, the Singapore Exchange Regulation Pte. Ltd. ("SGX RegCo") issued a Notice of Compliance ("NOC") for a Special Audit ("Special Audit") to review several matters including the internal control weaknesses noted in the Interim Report issued by Baker Tilly. Matters including the use of the Company's funds - including the funds of S$19 milion raised from February to August 2020 for business transformation, before OOWAY's involvement in the Company in October 2020 - remain within the purview of the Special Auditor and it is premature for Mr Liu or OOWAY to make any insinuations in that regard. The Company is reviewing a draft report in relation only to the Payroll Matters and the Transaction announced by the Company on 29 September 2021. The independent review of the remaining scope of work is on-going. The Company will update shareholders once there are material developments in this regard.2) It rejects any allegation of impropriety as to the appointment of Mr Lau Kay Heng as director, whose appointment was duly assessed by the Nominating Committee.3) Regarding the reference in the media to 2 loan matters:(i) for the loan of S$1.0 million taken up by the Company, the rationale - announced on 30 August 2022 - was to meet anticipated general working capital needs up to the end of 2022; and(ii) a S$1.5 million interest-free loan proposed by OOWAY had initially come with the pre-condition that a specific candidate had to be appointed as Chief Financial Officer ("CFO") of the Company. This condition could not be accepted after the Nominating Committee's due assessment which found the candidate to be not suitable to be the CFO of the Company. Subsequently, the former Executive Director and Interim CEO Mr Lincoln Teo had on 7 July 2022 recommended the Board to accept a proposal by another investor found by the OOWAY Group which contained conditions, among others, that the Company's investment in OTPL be provided as collateral for a convertible loan of S$5.0 million. By late-July 2022, the balance proceeds from the past fundraising activities were reduced to the precariously low level of S$26,559 while liabilities accumulated under the management of Mr Lincoln Teo amounted to approximately S$935,000.4) There is no basis to state "OOWAY Technology [Pte. Ltd.] [("OTPL")] is Kitchen Culture's most valuable asset".OOWAY has made many promises of injecting profitable businesses to the Company but did not make good its promises since becoming shareholders of the Company in October 2020 and had management control of the Company between July 2021 and July 2022.It is noted that the OTPL and its subsidiaries ("the OTPL Group") recorded losses in 2020 and 2021.
